Terms of Service

These Terms of Service govern your access to and use of ScopeToBuild. By creating an account or using the service, you agree to these terms.

1. Acceptance of these terms

By accessing or using ScopeToBuild (the "Service"), you agree to be bound by these Terms of Service and by our Privacy Policy. You confirm your agreement when you tick the acceptance box on the account-creation screen; an account cannot be created without it. If you are using the Service on behalf of a company, you represent that you are authorized to accept these terms on that company's behalf. If you do not agree, do not use the Service.

2. The Service

ScopeToBuild is a multi-tenant, business-to-business platform for managing restoration projects — including companies, projects, orders, change orders, estimates, documents, attachments, and electronic signatures. Data is organized by company (tenant). Everyone joins a company by invitation and is given a role (Admin, Manager, Client, Subcontractor, or Insurance Agent); that role, together with the projects they are added to, determines what they can see. We may add, change, or remove features over time.

The Service is a tool for recording and coordinating work. It does not provide estimating, insurance, or legal advice, and the amounts, scopes, and documents produced with it are yours — you are responsible for reviewing them before they are relied on or sent to a client, a carrier, or a subcontractor.

3. Accounts and your responsibilities

To use the Service you must create an account and provide accurate information. You are responsible for:

  • Maintaining the confidentiality of your login credentials and any device used for biometric sign-in.
  • All activity that occurs under your account.
  • Ensuring that you have the rights and permissions necessary for any content, documents, or personal data you upload or enter, including data about clients and third parties.
  • Notifying us promptly of any unauthorized use of your account or any security breach.

If you are an Admin, you are additionally responsible for who you invite into your company, the role you grant them, the projects you add them to, and removing access when it is no longer appropriate.

4. Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or regulation.
  • Upload or transmit malicious code, or attempt to disrupt, overload, or impair the Service.
  • Attempt to gain unauthorized access to the Service, other tenants, or any account, system, or data.
  • Reverse engineer, copy, or resell the Service except as permitted by law.
  • Use the Service to store or share content you do not have the right to share, or that is unlawful, infringing, or harmful.
  • Use automated means to scrape or bulk-extract data from the Service outside the features we provide for it.

5. Your content

You and your company retain ownership of the content you submit to the Service, including projects, estimates, documents, attachments, and signatures ("Your Content"). You grant us the limited rights needed to host, process, transmit, and display Your Content for the purpose of providing the Service to you and your company. You are responsible for the accuracy and legality of Your Content.

If you send us feedback, defect reports, or suggestions, you allow us to use them to improve the Service without obligation or attribution. That permission covers the suggestion itself — it does not extend our rights over Your Content.

6. Electronic signatures

The Service supports electronic signatures, prepared and routed through PandaDoc or, where the signer already has an account, requested directly in the app. When you sign a document you consent to do so electronically, and you agree that the signature, together with the recorded time and originating IP address, may be used as evidence of your agreement. It is your responsibility to ensure that electronic signatures are appropriate and enforceable for your particular use.

7. Fees

Where your company has agreed a paid plan with us, the fees, billing period, and payment terms are those set out in the order form or subscription agreement between your company and SCOPE TO BUILD LLC. Fees are exclusive of taxes unless stated otherwise, and paid amounts are non-refundable except where required by law or expressly agreed. Where no paid plan has been agreed — for example during an evaluation or pilot — the Service is provided at no charge and may be changed, limited, or withdrawn on reasonable notice.

8. Availability and support

We aim to keep the Service available and to resolve defects promptly, and we may need to take it offline for maintenance, updates, or urgent security work. Unless a separate written agreement says otherwise, we do not commit to a specific uptime level or response time. Support is provided by email at info@scopetobuild.com.

9. Third-party services

The Service relies on third parties to deliver certain features — including cloud hosting and file storage, document preparation and signature routing, mapping, and push notification delivery. These providers are identified in our Privacy Policy. Their availability is outside our control, and their own terms govern the part they perform. We are not responsible for a third-party service's acts or omissions, but we remain responsible for choosing providers appropriate to the Service.

10. Intellectual property

The Service, including its software, design, and branding, is owned by SCOPE TO BUILD LLC and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you to use the Service, these terms do not transfer any of our intellectual property rights to you.

11. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

12. Limitation of liability

To the maximum extent permitted by law, SCOPE TO BUILD LLC and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless SCOPE TO BUILD LLC from third-party claims, damages, and reasonable costs arising out of Your Content, your use of the Service in breach of these terms, or your violation of applicable law or of another party's rights. We will notify you of any such claim and will not settle it in a way that imposes an obligation on you without your consent.

14. Termination and account deletion

You may stop using the Service at any time and may request deletion of your account from within the app. As described in our Privacy Policy, account deletion includes a 7-day grace period, after which your personal data is anonymized while company business records are retained with an anonymized author. We may suspend or terminate access to the Service if you violate these terms or if necessary to protect the Service or other users.

15. Changes to these terms

We may update these Terms of Service from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised terms.

16. Governing law

These terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules, and any disputes will be subject to the courts located in the State of Washington, United States.

17. General

These terms, together with the Privacy Policy and any order form or subscription agreement, are the entire agreement between you and SCOPE TO BUILD LLC regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for a failure to perform caused by events beyond its reasonable control.
